This is a combined synopsis/solicitation for commercial items, issued as a Request for Quotation (RFQ) by the General Services Administration (GSA). • Procurement of a total of six (6) Toyota 4Runners (2 for Saipan, 4 for Guam).

• Vendors must bid on the entire quantity of a selected line item (Line Item 0001 or Line Item 0002, or both). Partial quantities will not be accepted.

• Delivery dates are a significant evaluation factor.

• Pricing must be FOB Destination.

• The government intends to award firm-fixed price delivery order(s), specifically Motor Vehicle Delivery Orders (MVDO).

• The government reserves the right to make one single award or multiple awards.

• The period of performance is for immediate delivery, though alternative delivery times may be quoted.

• Quote Due Date: May 1, 2026, 8:00 AM EST.

• Respondent Questions Due: April 30, 2026, 8:00 AM EST.

• Quotes must be submitted via email to April Stanch (April.Stanch@gsa.gov) and Ed Hodges (John.Hodges@gsa.gov).

• Evaluation factors include: Technical Compliance (with specifications, delivery terms, and delivery dates), Past Performance, and Price. Technical compliance, delivery dates, and past performance will be combined and considered equal to price.

• Submission Requirements:

  • Completed SF 18 (all pages).
  • Section C (pages 1-8).
  • RFQ Amendment Acknowledgment (if applicable).
  • Technical and Past Performance information.
  • Attachment A - Price/Delivery Schedule (Excel).
  • Attachment B - Specification.
  • Attachment C - GSA Fleet Systems Account Application Form.
  • Attachment E - Brand Name or Equal Worksheet (if applicable).
  • Manufacturer's Vehicle Window Sticker for each quoted vehicle.

• Evaluation of Past Performance: Minimum of 2, maximum of 3 recent (within last two years) and relevant government contract examples required, including Project/Contract Name, Description (with quantities), Dollar Amount, Period of Performance, and Point of Contact.

• This is a 100% small business set-aside.

• Entities must have an active registration in SAM.gov to be considered.

• All communications and quote submissions are to be sent via email to the points of contact listed.

• Vendors are responsible for acknowledging all solicitation amendments.

• The Contracting Officer (CO) is the sole authority for changes to the order.

• Payments will be made via Electronic Funds Transfer (EFT) in accordance with FAR 52.232-33.

• Invoices must include the MVDO number and be submitted to IPP (https://www.ipp.gov/).

• Vehicle status updates must be provided via GSAFleet.gov.

• Dealers shall not affix dealer identification items to the vehicles.

Amendment / Modification

This document is an addendum to FAR Clause 52.212-4, "Contract Terms and Conditions—Commercial Products and Commercial Services (FAR DEVIATION)." It modifies several paragraphs of the original clause:

• Invoice Payment Due Date (g)(2): Clarifies that payment is due the later of 10 days after the designated billing office receives a proper invoice or 10 days after Government acceptance of supplies/services. It also specifies conditions for the 10-day period after invoice receipt.
• Order of Precedence (s): Establishes a specific order for resolving inconsistencies, prioritizing the schedule of supplies/services, specific FAR paragraphs, addenda, solicitation provisions, and other documents.
• Unauthorized Obligations (u): States that any language in a commercial supplier agreement requiring the Government to pay future fees, penalties, interest, legal costs, or indemnify the Contractor, which would violate the Anti-Deficiency Act, is unenforceable against the Government.
• Commercial Supplier Agreements Unenforceable Clauses (w): This is a significant modification. It states that when a commercial supplier agreement is subject to this contract:
  • Any language, provision, or clause is unenforceable against the Government.
  • The Government is not bound by "I agree" click boxes or similar mechanisms.
  • Such language is deemed stricken from the agreement.
  • It does not apply to statutory indemnification or authorized payments.
  • It clarifies that the agreement binds the ordering activity as the end user but not individual Government employees.
  • The agreement is governed by Federal law, and any state/local law provisions are deleted.
  • Dispute resolution forums and time periods are governed by Federal law.
  • The supplier cannot unilaterally revoke rights granted to the Government.
  • Arbitration is not permitted unless authorized by agency guidance.
  • Updating terms: Non-material changes can be made unilaterally, but material changes (affecting Government rights/obligations, prices, or service levels) require a bilateral modification.
  • Unilaterally revised terms inconsistent with the contract are unenforceable.
  • Automatic renewals are prohibited without express Government consent.
  • Indemnification clauses are amended to state the U.S. Department of Justice represents the U.S.
  • Audit clauses are modified regarding invoice compliance, dispute resolution, and contractor-funded audits.
• Taxes or Surcharges (x): Governed by the underlying contract, requiring Contracting Officer determination before invoicing.
• Non-assignment (xi): Assignment or delegation requires Government approval.
• Confidential Information (xii): Clarifies that neither the agreement nor the price list is considered "confidential information." It also states the Government may retain confidential information as required by law but remains subject to confidentiality obligations.

This addendum directly modifies FAR Clause 52.212-4, specifically paragraphs (g)(2), (s), (u), (w), (x), (xi), and (xii).

This addendum clarifies contract terms and conditions, particularly regarding commercial supplier agreements and government payment obligations.
