This document, "Attachment 2 - Terms and Conditions," outlines the contractual terms and conditions applicable to any order awarded as a result of the solicitation. It supersedes all other terms and conditions and is incorporated by reference into the contract.

• Instructions to Offerors (52.212-1): Specifies that offers must be held firm for 120 calendar days.

• Contractor Requirements:

• Security Prohibitions and Exclusions (52.240-90): Includes representations and certifications related to covered telecommunications equipment, FASCSA orders, Sudan, and Iran.
• Sustainable Products (52.223-23): Requires the contractor to ensure sustainable products are provided as specified in the contract.
• Purchase Order Requirements: Specifies shipping address, F.O.B. Destination terms, inspection and acceptance at destination, and requirements for full and clear traceability. A DD Form 250 (MRR) or commercial shipping document is required with delivery.
• Warranty: The contractor's standard commercial warranty will suffice.
• Payment Instructions: Invoices are to be submitted IAW FAR 52.212-4 to the designated billing office, with electronic submission highly encouraged.

• Option for Increased Quantity: The USCG may increase the quantity of items by up to 50% within 365 days of the award date.

• Rationale: Honeywell International, Inc. is the Original Equipment Manufacturer (OEM). Sherwood Avionics & Accessories and Duncan Aviation are the only two designated OEM Authorized Centers with access to the OEM Commercial Maintenance Manual (CMM), technical data, specifications, and drawings required for overhaul, meeting United States Coast Guard (USCG) Engineering requirements.
• Price Determination Methods: Market Research, Comparison of Proposed Price with Prices Found Reasonable on Previous Purchases, and Current Price List are indicated as methods used.

Statement of Work (SOW) / Performance Work Statement (PWS)

This Statement of Work (SOW) outlines the requirements for overhaul services for U.S. Coast Guard (USCG) HC-130J aircraft components. The objective is to maintain an inventory of "Ready for Issue" (RFI) components to support USCG missions, including search and rescue, law enforcement, and marine resource conservation.

• Overhaul components to an RFI condition in accordance with applicable technical directives or approved alternate standards.

• Contractor shall supply all parts, labor, and materials for overhaul at a firm-fixed price.

• Repair of failed components, replacement of missing hardware, broken parts, and removal of foreign matter or corrosion are included.

• Incorporation of Service Bulletins (SB) or repairs for Unusual Damage will be priced separately.

• Components must be returned in an airworthy condition, suitable for installation on HC-130J aircraft, with required certification and documentation.

• Overhaul actions must comply with applicable technical directives and specifications.

• Components must meet minimum acceptable standards for an operationally effective system.

• Contractor must have access to current technical directives, manuals, and performance/test/acceptance criteria.

• If a manual revision affects overhaul requirements and price, the contractor must stop work and notify the Government in writing within 15 calendar days.

• Period of Performance and Turn-around Time/Delivery Schedule will be provided in the order.

• Primary place of performance will be the Contractor's facilities or other USCG approved location.

• Contractor must be either the Original Equipment Manufacturer (OEM) or an OEM Certified Facility.

• Sub-contractors must meet specific certification requirements and be listed.

• A Quality Assurance System must be maintained.

• Environmental requirements include cleaning parts to be free of hazardous dust (hexavalent chromium, cadmium, lead).

• "Unusual Damage" (obvious misuse, cannibalization, crash damage) may be subject to separate pricing and evaluation.

• Airworthiness Certification (e.g., FAA 8130 or equivalent) is required for all overhauled items.

• A Certificate of Conformance (COC) prepared per FAR 52.246-15 is required for each overhauled component.
