This document, "Attachment 2 - Terms and Conditions," outlines the contractual terms and conditions applicable to the acquisition of commercial items. It is intended to be incorporated into any order awarded as a result of the solicitation and supersedes all other terms and conditions.

• 52.212-1 Instructions to Offerors: Specifies that offerors must hold prices firm for 120 calendar days from the offer receipt date.
• 52.212-2 Evaluation: Details the evaluation criteria for awarding a purchase order, which are (in descending order of importance): Technical Acceptability, Delivery, and Price. Non-price factors combined are more important than price.
  • Technical Acceptability: Requires offerors to demonstrate access to applicable technical directives and proof of ability to update technical data (e.g., via DD-2345 form or TODO account code). Airworthiness certification is required for overhauled items, with FAA Form 8130 or an equivalent accepted. A Certificate of Conformance is not acceptable for certifying airworthiness.
  • Delivery: Offerors must state their delivery capability. Evaluation is based on confidence levels (High, Satisfactory, Low) related to delivery within 90-105 days, 106-120 days, or over 120 days After Receipt of Component (ARC), respectively.
  • Price: Offerors must provide pricing as requested, including quantity price discounts and prompt payment discounts. Quotations will be evaluated for fairness and reasonableness.
• Addendum to 52.212-4: Specifies purchase order requirements, including shipping to the USCG Aviation Logistics Center in Elizabeth City, NC, with F.O.B. Destination terms. Inspection and acceptance will occur at the destination.
• Material Inspection and Receiving Report (MRR): Requires a completed DD Form 250, MRR, or commercial shipping document with specific details.
• Packing, Marking and Preservation: Compliance with ASTM-D3951-15 is required.
• Quality Assurance: Applicable to orders for products touching USCG aircraft. Requires immediate notification of any non-conformities and a Quality Control Manual.
• Warranty: Standard commercial warranty is acceptable.
• Required Documentation: Offerors must provide a Certificate of Airworthiness or Equivalent, and a Certificate of Conformance (FAR 52.246-15).
• Payment Instructions: Invoices to be submitted IAW FAR 52.212-4 to the designated billing office, with electronic submission encouraged.
• FAR Full Text Clauses & Solicitation Provisions: Lists numerous FAR and HSAR clauses and provisions incorporated by reference, including those related to whistleblower rights, sustainable products, security prohibitions, and trade agreements.

Statement of Work (SOW)

To provide overhaul services for U.S. Coast Guard (USCG) Aviation Logistics Center (ALC) components, ensuring an inventory of "Ready for Issue" (RFI) parts to support critical missions such as search and rescue, law enforcement, and marine resource conservation.

• Overhaul components listed in the Schedule of Supplies/Services, returning them in an airworthy and RFI condition.
• Work must comply with applicable technical directives or alternate standards approved by USCG LRS Contracting Officer.
• Contractor shall supply all parts, labor, and materials for overhaul at a firm-fixed price.
• Includes repair of failed components, replacement of missing hardware, and removal of foreign matter or corrosion.
• Excludes pricing for Service Bulletins (SB) or repairs for Unusual Damage, which will be priced separately.

Contractors must be either:

• FAA Certified Overhaul Facility

• OEM Certified Overhaul Facility or OEM Certified Distributor

• DoD Certified Overhaul Facility

• Sub-contractors must also meet these certification requirements.

• Compliance with applicable technical directives (e.g., 15X6-3-21-3, 15X6-3-21-4) and Original Equipment Manufacturer's Commercial Maintenance Manuals (CMM).

• Contractor must demonstrate access to all required technical data and manuals.

• Replacement parts must be new, OEM-traceable, or certified "serviceable"/"repaired" and meet technical directive requirements.

• Overhauled components must be certified airworthy and suitable for installation.

• A Certificate of Conformance (COC) prepared per FAR 52.246-15 is required for each overhauled component.

• Period of Performance and required delivery dates will be provided in the order.

• Primary place of performance will be the Contractor's facilities or other USCG-approved location.

• Environmental requirements: Cleaning must comply with applicable technical directives or FAA Advisory Circular 43-205, ensuring parts are free of hazardous dust (hexavalent chromium, cadmium, lead).

• Unusual Damage: Components may be received in a condition outside standard technical directives. A separate evaluation and price proposal are required for "Unusually Damaged" components (defined as obvious misuse, cannibalization, or crash damage).

• Reporting: Notification of receipt of components, discrepancies, and unusual damage evaluations are required within specific timeframes.

• Quality Assurance: Contractor and sub-contractors must maintain a Quality Assurance System.
