• Maintain two repeater stations enabling dispatch to communicate with drivers via portable radio, supporting both fleet-wide and individual driver communication without loss of signal quality.

• Immediately notify the Contracting Officer's Representative (COR) of any service disruptions within 15 minutes.

• Ensure communication services operate using commercially available frequencies for Puerto Rico.

• Respond to emergencies within a 5-15 minute timeframe, providing updates on communication outages.

• Ensure replacement parts/equipment are available for out-of-warranty repairs (covered under Other Direct Costs, not to exceed $3,500.00 per performance period).

• Provide repair/service rates for minor repairs (e.g., radio reprogramming, antenna realignment) not requiring parts (hourly rate, not to exceed $3,500.00 per performance period).

• 100% compliance with contract requirements for task completion.

• Notification of service disruptions within 15 minutes.

• Response to emergencies within 5-15 minutes.

• Technical support available from 0500-1900 Monday-Saturday Puerto Rico local time.

• Replacement parts availability for repairs at 90% of the time.

• Repair service rates not to exceed $3,500.00 per period of performance.

• Contract type: Firm fixed price.

• Period of Performance: One 12-month base year and four 12-month option years.

• Place of Performance: DoWEA locations in Puerto Rico (Fort Buchanan and Ramey Aguadilla).

Amendment / Modification

This document is an Addendum to a License Agreement submitted with a proposal for "REPEATERS SERVICES FOR RADIO COMMUNICATION BETWEEN CSO TRANSPORTATION DISPATCHER AND GSA SCHOOL BUSES (HE125426QE020)". It clarifies terms that are unacceptable to the Government due to conflicts with Federal law or incompatibility with Government needs. • Incorporating Other Terms: Terms from other documents or websites are not binding unless submitted with the proposal and made an attachment. Unilaterally revised terms after award are not enforceable.
• Venue/Choice of Law: Government does not agree to specific venue, jurisdiction, or choice of law clauses. Disputes governed by applicable federal statutes and regulations.
• Equitable Remedies/Injunctions: Not agreed to, except as permitted by federal statutes.
• Unilateral Termination by Contractor: Not permitted. Recourse for alleged breach is under the Contract Disputes Act.
• Unilateral Modification: Contractor cannot unilaterally change license terms.
• Assignment by Licensor: Not agreed to, except as permitted by statute (e.g., Assignment of Claims Act).
• Confidentiality: Unit prices and license terms are not considered confidential or proprietary. FOIA governs disclosure.
• User Obligations: Government users are not bound by terms obligating users. "User" refers to the Government itself.

This Addendum modifies the terms of the License Agreement submitted by the offeror.

Offerors must agree to all terms of this Addendum. It will become a binding part of the contract if the proposal is accepted and selected for award. The offeror agrees this Addendum contains no confidential or proprietary information and may be released to the public.
