This document provides instructions and requirements for submitting quotes in response to Request for Quotation (RFQ) 2026-R-007 for a Hair Care Point-of-Sale (POS) System. The Senate will make one award based on a best-value (trade-off) source selection.

• Offerors must sign and return the PRICING TABLE (Excel Worksheet) with mandatory vendor information.

• Include any applicable End User License Agreements (EULA) and/or referenced Contract Terms and Conditions.

• If EULAs or Contract Terms are provided, sign and return the ADDENDUM TO COMMERCIAL AGREEMENTS (PDF).

• Resellers must provide a current statement from the Original Equipment Manufacturer (OEM) authorizing the sale to the Federal Government in the USA.

• For telecommunications equipment or high-impact/moderate-impact information systems, provide an OEM STATEMENT OF COMPLIANCE certifying compliance with Section 208 of the Legislative Branch Appropriations Act, 2020.

• Submit Firm-Fixed-Prices on a F.O.B. Destination basis.

• Quotations must include all applicable end user license agreements and contract terms and conditions in full text, searchable PDF format.

• Offerors must have an active registration in the System for Award Management (SAM) database and provide DUNS or Unique Entity Identifier.

• Quotations must include all required RFQ line items from the PRICING TABLE Excel Worksheet and meet specifications in the SPECIFICATIONS Excel Worksheet (Attach-B).

• The award will be subject to attached PURCHASE ORDER CLAUSES and ADDENDUM TO COMMERCIAL AGREEMENTS (if applicable), and GWAC terms and conditions (if applicable).

• The period of performance is not explicitly stated but SAM registration must be current throughout.

• Evaluation will be based on technical specifications, proposed price (including list price, optional items, and maintenance), and past performance of similar products/services within the past three (3) calendar years.

• Technical capability will be evaluated; cursory responses may be deemed unacceptable.

• Offerors may submit open market quotations or quotations under NASA SEWP, GSA Schedule, or other GWAC contracts.

• The SAA reserves the right to reject any quotation that does not fully address requirements.

• This RFQ does not obligate the SAA to reimburse costs or commit to a purchase.

• The SAA will not provide debriefings.

• Award will be subject to attached PURCHASE ORDER CLAUSES, ADDENDUM TO COMMERCIAL AGREEMENTS (if applicable), and GWAC terms and conditions (if applicable).

• Quotations that fail to meet solicitation requirements or consist of cursory responses may be deemed unacceptable.

• Offerors may submit an open market quotation or a quotation in accordance with NASA SEWP, GSA Schedule, or other GWAC contracts.

• The SAA reserves the right to reject the entire quotation if required items are missing or deviate from specifications.

• The SAA will not provide debriefings.

Amendment / Modification

This document is an Addendum to Commercial Agreements, intended to become a binding part of any contract with the U.S. Senate, Office of the Sergeant at Arms (SAA). It modifies existing License Agreements by superseding and controlling any conflicting terms with Federal law, US Senate Procurement Regulations, or SAA/Senate needs.

Key modifications and clarifications include:

• Unauthorized Obligations: Clauses requiring the SAA to pay future fees, penalties, interest, attorney fees, legal costs, or indemnify the contractor are unenforceable and deemed stricken.
• Third-Party Claims / Indemnification: Clauses giving the Contractor control over third-party claims (including intellectual property infringement) are modified. The Contractor shall indemnify and hold harmless the SAA from such claims, with the SAA having the right to participate in the defense under the control of the U.S. Department of Justice.
• Automatic Renewals: Automatic renewal provisions are not agreed to, as they may violate the Anti-Deficiency Act. Licenses or services tied to periodic payments will not renew automatically without prior express written SAA approval.
• Audit: Clauses granting the Contractor the right to audit the SAA's use of software licenses are not accepted. The SAA may conduct a self-audit upon request.
• Taxes and Fees: The SAA is not responsible for any taxes or additional charges beyond the agreed contract price, including late fees or maintenance fees.
• Incorporating Terms by Reference: Terms from other documents or websites do not bind the SAA unless submitted with the proposal. Unilaterally revised terms are not enforceable.
• Venue; Choice of Law: The agreement is governed by Federal law and Regulations. Any language subjecting the SAA to state or foreign law is deleted.
• Dispute Resolution: Mandatory arbitration is not agreed to. Disputes must be resolved per Part 4 of the Regulations. The Federal Tort Claims Act and applicable Federal Statute of Limitations provisions will govern claims.
• Equitable or Injunctive Remedies: The SAA does not consent to equitable or injunctive relief, except as permitted by Federal law.
• Unilateral Termination by Contractor: The Contractor cannot unilaterally revoke, terminate, or suspend rights. Recourse for alleged breach must be made under the Regulations.
• Unilateral Modification: The Contractor cannot unilaterally change license terms. Material changes require a bilateral modification.
• Advertisement: Contractors shall not imply SAA approval or endorsement in commercial advertising.
• Confidentiality: Contractors must protect contract information and not use it except for internal evaluation of the relationship with the SAA.
• Data Protection After Contract Termination: Contractors must return or destroy SAA/Senate information within 30 days of termination.
• Termination for Default/Convenience: Provisions for termination by the SAA are outlined, including conditions and contractor obligations.
• Gratuities: Offering gratuities may lead to termination for default.
• Availability of Funds: Payment is contingent upon the availability of appropriated funds.
• Assignment by Licensor: Assignment of SAA contracts requires prior SAA approval, except for assignment of payment to a financial institution.

This Addendum modifies and supersedes terms within any underlying Commercial License Agreement, End User License Agreement, Terms of Service, or Maintenance Agreement.
